Qantas Distribution Platform portal Terms and Conditions

1. Acceptance:

1.1 The Qantas Distribution Platform portal (QDP portal or Portal) is a web-based interface that enables booking, ticketing, and servicing of Qantas Distribution Platform content. Access to the QDP Portal is subject to compliance with these QDP Portal Terms and Conditions (Portal Terms) and any additional terms applicable to the services. 

1.2 You, the Agent, will be required to register to use the QDP Portal and accept these Portal Terms as part of the registration process.

1.3 If Qantas accepts Your registration to use the QDP Portal, Qantas will grant You access to the QDP Portal and notify You by email of the success of Your registration and Your access credentials. 

1.4 Use of the QDP Portal is subject to these Portal Terms and Your use of the QDP Portal will constitute Your acceptance of the Portal Terms.

1.5 If You are accepting these Portal Terms on behalf of Your travel agency, and therefore, other agents in your travel agency, You must ensure that You have the complete legal authority to bind the other agents to these Portal Terms. Additionally, You must acknowledge that You have read and comprehended the Portal Terms and agree to them on behalf of the party or parties You represent.

1.6 There may be additional terms and conditions that apply to the relationship between Qantas and You, as Agent. In the event of any inconsistency between these Portal Terms and such other terms and conditions, then the order of priority is:

(a) any Agency Agreement; then
(b) the Qantas Standard Agency Terms and Conditions; and then
(c) these Portal Terms.

1.7 Qantas may amend these Portal Terms by posting updates on the [Qantas Agency Connect Site] with such changes taking effect on 30 days’ notice or earlier if required by law or for operational reasons. You may, within 30 days of such a change to these Portal Terms, by giving written notice to Qantas, terminate your registration to use the QDP Portal and cease to be authorised by Qantas to access the QDP Portal, where the terms in clause 6.2 will then apply.

2. Agent Obligations

2.1 The Agent must:

(a) hold applicable licenses and IATA, ARC, TIDS or VTC membership;
(b) notify Qantas immediately if such licence or membership is revoked, cancelled or not renewed;
(c) not copy, reproduce, translate, adapt, vary or modify the QDP Portal;
(d) ensure all information that is reasonably required by Qantas for Your use, or to enable Your use, of the QDP Portal is accurately supplied to Qantas and immediately notify Qantas of any change to such information;
(e) ensure its Personnel receive adequate training in the use of the QDP Portal;
(f) not create any hyperlink from the Agent’s website to the QDP Portal;
(g) not allow customers of the Agent or any unauthorised third parties direct access to the QDP Portal;

unless Qantas has agreed otherwise in writing, or except as expressly authorised by these Portal Terms.

2.2 The Agent or nominated Agent Admin User is responsible for updating and maintaining the access its agents (whether it’s providing or removing access).

2.3 The Agent must:

(a) ensure that only its Personnel are authorised agents in their organisation to access the QDP Portal and that only Personnel with the authority to grant or revoke access for other agents within the agency are set up as Agent Admin User;
(b) ensure that Personnel who have authorised access to the QDP Portal are notified of, and comply with these Portal Terms;
(c) ensure that authorised Personnel are onboarded with a: 

(i) Username or Agent ID – that must adhere to the following convention (Lastname, and the first initial of First Name of the Agent); and 
(ii) Email Address with the appropriate domain name of the Travel Agency;

(d) supervise and control the use of the QDP Portal, Documentation and Reports in accordance with these Portal Terms, including taking all steps necessary to ensure that access to the QDP Portal is restricted to those Personnel who are authorised to access the QDP Portal; 
(e) where it becomes aware or suspects that an unauthorised individual has obtained access or access credentials to the QDP Portal, it must inform Qantas without undue delay and prevent continued access to the QDP Portal by the unauthorised individual; and
(f) update and maintain all registration details including maintaining a list of Personnel who have been authorised access and ensuring that Personnel who no longer require access have their access cancelled.

3. Documentation

3.1 Documents generated using the tools within the QDP Portal, such as an eTicket or order confirmation must only be used to notify the customer of their booked itinerary.  You agree to: 

(a) not alter, vary or modify any Documentation; 
(b) only use it to notify the customer of their booked itinerary. 
(c) treat all Personal Information or passenger information within the Documentation as confidential and prevent unauthorised access or sharing of such information. 

4. Reports

4.1 Reports and information generated using the tools within the QDP Portal (Reports) are intended for internal financial accounting or operational purposes only. By using this functionality to generate Reports, You agree to: 

(a) utilise the Reports for internal financial accounting or internal operations only; 
(b) treat all Personal Information or passenger information within the Reports as confidential and prevent unauthorised access or sharing; and
(c) follow reasonable measures to ensure data security of the Reports and refrain from sharing Reports or the information contained with them with any third party without the prior consent of Qantas.

5. Liability

5.1 The Agent is responsible for the acts and omissions of its Personnel.

5.2 The Agent acknowledges that the QDP Portal and any functionality cannot be guaranteed error free and further acknowledges that the existence of any such errors will not constitute a breach of these Portal Terms.

5.3 In no circumstances will either Qantas or the Agent be liable to the other for any indirect, incidental, special, consequential or economic losses or damages (including loss of profits, revenue, production, goodwill, data or opportunity) or any loss of or damage to data, whether or not the possibility of those losses or damages being suffered is brought to the attention of either party.

5.4 The Agent acknowledges that it has exercised its independent judgment in acquiring access to the QDP Portal and has not relied on any representation made by a Qantas Group Company or any of its personnel which has not been stated expressly in these Portal Terms or upon any descriptions or illustrations or specifications contained in any document including catalogues or publicity material produced by a Qantas Group Company.

6. Intellectual Property Rights

6.1 The Agent acknowledges that it does not acquire any intellectual property rights in the QDP Portal, Documentation or Reports except for those rights expressly set out in these Portal Terms.

6.2 The Agent must not during or any time after the expiry or termination of these Portal Terms permit any act which infringes the intellectual property rights in the QDP Portal and, without limiting the generality of the foregoing, the Agent specifically acknowledges that it may not copy the QDP Portal or any of the QDP Portal functionality except as otherwise expressly authorised by these Portal Terms.

7. Use of data

7.1 Qantas may use the data provided by You during the registration process for marketing and related purposes and Qantas may contact You for the purpose of undertaking surveys or other communications related to Your use of the Qantas Distribution Platform portal. We will provide an option to unsubscribe or opt-out of further communication on any electronic marketing communication sent to you.

8. Terms and Termination

8.1 The Agent’s right to use QDP Portal commences upon acceptance by Qantas of the Agent registration request (as detailed above under the heading "Acceptance") and continue until terminated in accordance with these Portal Terms.

8.2 These Portal Terms may be terminated by: 

(a) either party at any time upon 30 days written notice to the other party; or
(b) Qantas immediately if the Agent:

(i) is in breach of any of these Portal Terms or the Qantas Agency Terms and Conditions;
(ii) is suspected to be involved in any screen scraping or any other suspicious or illegal activities;
(iii) disposes of the whole or any part of its assets, operations or business other than in the normal course of business;
(iv) ceases to carry on business;
(v) being a corporation, becomes the subject of insolvency proceedings, or has an administrator, a liquidator or receiver and/or manager or other like person appointed over any of its assets; or
(vi) being a firm or partnership, becomes the subject of an event of bankruptcy or is dissolved. 

8.3 Upon termination, the Agent must immediately cease accessing the QDP Portal.

8.4 Termination of these Portal Terms will not affect any rights or remedies that Qantas may have otherwise under these Portal Terms or at law.

9. Privacy

9.1 Each party must comply with all applicable privacy legislation, such as the Privacy Act 1988 (Cth) and the General Data Protection Regulation (Regulation (EU) 2016/679). 

9.2 Where the Agent collects Personal Information about an individual it must also comply with the privacy provision set out in the Qantas ’Standard Agency Terms and Conditions'. It is important to note that all privacy terms set out in the Standard Agency Terms and Conditions are equally binding within the context of these Portal Terms.

10. Compliance

10.1 Anti-Bribery: Each party represents and warrants that, in respect to the matters that are the subject of these Portal Terms, it has not and will not:

(a) offer, promise, provide or cause to be provided to another person (including a Public Official) anything of value (including money), to influence that person to commit an improper act, or for the purpose of obtaining or retaining business, in breach or attempted breach of any applicable Anit-Corruption Law in a relevant jurisdiction
(b) otherwise deal with any person or asset where to do so may breach any applicable Anti-Corruption law, or facilitate the commission of any breach of any applicable Anti-Corruption Law

10.2 Modern Slavery: Each party shall comply with all applicable labour, anti-slavery and human trafficking legislation and regulations in a relevant jurisdiction, as applicable to the party, including but not limited, to the Modern Slavery Act 2018 (Australia) (Modern Slavery Laws).

(a) Each party represents and warrants that to the extent it is aware: r

(i) it has not and will not through its business activities, knowingly engage in modern slavery; and 
(ii) it is not the subject of any notices, investigations, proceedings or claims arising in any jurisdiction in relation to any actual or reasonably suspected breach of Modern Slavery Laws. 

(b) Each party will make reasonable efforts to establish, implement, and maintain appropriate systems and policies to identify, prevent and mitigate the risk of modern slavery in its operations and supply chains.

10.3 Sanctions: Each party represents and warrant that it

(a) is not a Sanctioned Party; and
(b) will comply with all Sanctions Laws as applicable to each party.

10.4 If a party (Concerned Party) reasonably forms the view that the other party or its Personnel have engaged in conduct in breach of this clause 18, the concerned Party: 

(a) may request that the other party provide information and answer any reasonable questions relating to that conduct;  
(b) retains the absolute discretion to disclose any information connected with that conduct to a legal or regulatory body without any obligation to inform the other party; and 
(c) may terminate these Portal Terms immediately and without penalty. 

 

11. Definitions and Interpretation

Agency Admin User means the user with an administrator or ‘admin’ role or function within the QDP Portal.

Agent means the travel agent entity and its Personnel whose application for registration to use the QDP Portal as has been accepted by Qantas.

Anti-Corruption Law means 

(a) the Australian Criminal Code Act 1995 (Cth);
(b) the United States of America Foreign Corrupt Practices Act of 1977;
(c) the United Kingdom Bribery Act 2010; and
(d) any other applicable law which has as its objective the prevention of bribery and corruption.

Personal Information means information or an opinion about an identified individual, or an individual who is reasonably identifiable:

(a) whether the information or opinion is true or not; and
(b) whether the information or opinion is recorded in a material form or not.

Personnel means:

(a) in the case of Qantas, the officers, employees, agents and contractors of the Qantas Group (excluding the Agent and its Personnel); and
(b) in the case of the Agent, includes the Agent, its related bodies corporate and its franchisees and the officers, employees, agents and contractors of each of them.  

Portal Terms means these Qantas Distribution Platform Portal Terms and Conditions.

Public Official means:

(a) any officer or employee of a government, government department or government agency; 
(b) any officer or employee of a government controlled enterprise; 
(c) any officer or employee of a public international organisation; 
(d) any political party, political party official or candidate for a political office; or 
(e) anyone acting in an official capacity on behalf of those listed above (whether paid or unpaid). 

Qantas Distribution Platform is a B2B integration platform that houses API Services which enables external connections to access Qantas booking systems.

Qantas Distribution Platform Content means such offers and orders generated by the Qantas Distribution Platform that Qantas authorises the Agent to receive using API Services.

Qantas Distribution Platform portal, QDP Portal or Portal means the web-user interface enabling the booking, ticketing, and servicing of Qantas Distribution Platform content, and which these terms are applied on.

Qantas Group Companies means Qantas Airways Limited and each of its related bodies corporate (as defined in the Corporations Act 2001 (Cth).

Sanctioned Party means any individual or entity with whom dealings are restricted or prohibited under any Sanctions Laws.

Sanctions Laws means all applicable financial, economic and trade sanctions (whether primary or secondary), and export controls laws and regulations (or any similar restrictions) imposed by the United Nations or the governments of Australia, the United Kingdom, European Union, the United States of America.
